1. Acceptance

By registering, accessing, subscribing to, or using VASHQ, you agree to these Terms & Conditions.

If you disagree with any part, you should not use the platform.

2. Service Description

VASHQ is a cloud-based ERP and business management software for the car care industry.

Features may include:

• Job Management
• Customer Management
• Billing & Invoicing
• Booking Management
• Employee Management
• Inventory
• Expense Tracking
• Credit Management
• Reports
• AI Insights
• WhatsApp Integration
• Business Analytics

Features may change over time without prior notice.

3. Free Trial

VASHQ provides a free trial period to allow customers to evaluate the software before purchasing.

Customers are expected to fully evaluate all features during the trial.

Once a paid subscription is purchased, it confirms that the customer is satisfied with the software.

4. Subscription

Subscriptions are offered on:

• Monthly (if applicable)
• Annual Plans

Subscriptions begin once payment is successfully completed.

5. No Refund Policy

All subscription payments are final and non-refundable.

Because VASHQ provides a free trial before purchase, users have sufficient opportunity to evaluate the platform before subscribing.

No refunds, whether full or partial, will be issued for:

• Change of mind
• Lack of usage
• Business closure
• Staff changes
• Technical knowledge limitations
• Failure to utilize available features
• Switching to another software
• Dissatisfaction after subscription
• Early cancellation
• Partial subscription periods

This policy applies to all annual subscription plans unless otherwise required by applicable law.

6. Auto Renewal

Subscriptions may renew automatically if enabled by the customer.

Customers are responsible for canceling auto-renewal before the renewal date.

7. User Responsibilities

Customers agree:

• To provide accurate information.
• To maintain password confidentiality.
• Not to share accounts without authorization.
• Not to attempt unauthorized access.
• Not to misuse the platform.
• Not to upload illegal or harmful content.
• Not to interfere with system operations.

8. Intellectual Property

All software, source code, branding, logos, designs, UI, workflows, documentation, AI systems, APIs, databases, and related intellectual property remain the exclusive property of Wisemove Consultancy Pvt. Ltd.

Customers receive a limited, non-transferable, non-exclusive license to use the software during an active subscription.

9. Availability

While we strive for high availability, uninterrupted service cannot be guaranteed.

Temporary interruptions may occur due to:

• Maintenance
• Server Upgrades
• Internet Issues
• Third-party Service Failures
• Force Majeure Events

10. Support

Technical support is provided according to the subscribed plan.

Support does not include custom development unless separately agreed in writing.

11. Data Backup

We perform regular backups; however, customers are responsible for maintaining copies of important business records where appropriate.

The Company is not liable for losses arising from unforeseen technical failures, third-party outages, or events beyond its reasonable control.

12. Suspension

We may suspend or terminate accounts for:

• Fraud
• Abuse
• Illegal Activities
• Non-payment
• Security Threats
• Violation of these Terms

No refund will be issued for accounts terminated due to violations.

13. Limitation of Liability

To the maximum extent permitted by law:

• VASHQ is provided on an "as is" and "as available" basis.
• The Company does not guarantee uninterrupted, error-free, or completely secure operation.
• The Company shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, or data.
• The Company's total aggregate liability arising out of or relating to the use of VASHQ shall not exceed the subscription fees paid by the customer during the twelve (12) months immediately preceding the event giving rise to the claim.

14. Indemnification

Customers agree to indemnify and hold harmless Wisemove Consultancy Pvt. Ltd., its directors, employees, affiliates, and partners from claims, damages, liabilities, losses, and expenses arising from misuse of the platform, violation of these Terms, infringement of third-party rights, or unlawful activities conducted through their account.

15. Governing Law

These Terms shall be governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the courts located in Ernakulam, Kerala, India, unless otherwise required by applicable law.

16. Changes

The Company reserves the right to modify these Terms at any time.

Continued use constitutes acceptance of the revised Terms.
